Terms of Service

1. Acceptance of Terms

By accessing or using BuPay (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Users under the age of 18 must have parental or guardian consent to use the Service.

2. Service Description

BuPay provides a payment management platform for sports teams, clubs, and organizations:

• Payment Processing: Process payments via PayPay, credit cards, and bank transfers
• Invoicing: Manage team fees, game charges, season passes, and other expenses
• LINE Integration: Connect with LINE for payment notifications and team communication
• Team Management: Member management, financial reports, and automated reminders
• Stripe Integration: Secure payment processing and bank transfers through Stripe Connect

3. Account Registration

• To use the Service, you must create an account with a valid email address. Authentication is managed through Clerk.
• You agree to provide accurate and current information and to keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use or suspected breach of your account.

4. User Roles and Responsibilities

4.1 Team Organizers/Managers

• Must connect a Stripe Connect account and provide a bank account for receiving payments
• Are responsible for the accuracy of invoices, charges, and team information
• Must comply with all applicable laws and regulations
• Must clearly communicate all fees and charges to team members before billing

4.2 Team Members/Parents

• Must review and pay invoices in a timely manner
• Should contact team organizers directly to resolve disputes about charges
• Parents can manage profiles and payments for their children

5. Payments and Fees

5.1 Payment Processing

• All payments are processed through Stripe. Stripe's terms and privacy policy apply.
• We accept payments via PayPay, credit cards, and bank transfers.
• We do not store payment card information. All payment data is securely processed by Stripe.

5.2 Platform Fees

• BuPay charges platform fees for payment processing. Fees are set per organization and clearly displayed at checkout.
• Fees typically consist of a percentage of the payment amount plus a fixed fee per transaction.
• All fees are fully disclosed before payment completion.

5.3 Stripe Payment Fees

Standard Stripe payment processing fees apply to all transactions. These fees are set by Stripe and are separate from our platform fees.

6. Refund Policy

Refund eligibility depends on the type of charge and circumstances:

6.1 Game Charges

• Eligible for refund if the game has not yet occurred
• Not eligible for refund after the game has passed
• Refunds are processed to the original payment method

6.2 Season Passes

• Eligible for refund within 7 days of purchase
• Only if the season pass has not been applied to any game charges
• Not eligible for refund after the refund window or if the pass has been applied to game charges

6.3 Other Charges

Refunds for equipment and other charges are at the discretion of the team organizer. Please contact your team organizer directly to resolve refund disputes.

6.4 Refund Processing

• Approved refunds are processed to the original payment method within 5-10 business days
• Refunds are only processed to the original payment method
• Platform fees and Stripe fees are non-refundable

7. Prohibited Conduct

You may not use the Service to:

• Engage in any illegal purpose or violate these Terms
• Engage in fraudulent or deceptive transactions
• Access or use another person's account without authorization
• Interfere with or disrupt the Service or servers
• Use automated systems to collect or scrape data
• Transmit viruses, malware, or other harmful code
• Impersonate any person or entity

8. Intellectual Property

• The Service and its original content, features, and functionality are the exclusive property of BuPay and its licensors.
• The Service is protected by copyright, trademark, and other laws.
• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial use in accordance with these Terms.

9. Account Suspension and Termination

• We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, at our sole discretion.
• We may terminate your account immediately for violations of these Terms, fraudulent activity, or misconduct.
• You may close your account at any time. Upon account closure, your personal data will be deleted or anonymized within 30 days, except for financial records required by law.

10. Limitation of Liability

• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
• We do not warrant that the Service will be uninterrupted, secure, or error-free.
• To the maximum extent permitted by law, BuPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Service.
• BuPay is not responsible for disputes between team organizers and members. Such disputes must be resolved directly between the parties.

11. Indemnification

You agree to indemnify and hold harmless BuPay and its affiliates, officers, and employees from all claims, damages, obligations, losses, liabilities, and costs arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Modifications to Terms

• We reserve the right to modify or revise these Terms at any time, at our sole discretion.
• We will notify you of material changes by email or through a notice on the Service.
• Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of Japan.
• Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Japan.
