1Acceptance of Terms

By accessing or using BuPay (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Users under the age of 18 must have parental or guardian consent to use the Service.

2Service Description

BuPay provides a payment management platform for sports teams, clubs, and organizations:

  • Payment Processing: Process payments via PayPay, credit cards, and bank transfers
  • Invoicing: Manage team fees, game charges, membership fees and insurance premiums, and other expenses
  • LINE Integration: LINE login and account linking, so members can check payment status and upcoming games from LINE
  • Team Management: Member management, financial reports, and automatic reminders for membership fees
  • Stripe Integration: Secure payment processing and bank transfers through Stripe Connect

BuPay may only be used to collect payment for services provided by the organisation (such as membership dues, participation fees, entry fees and insurance premiums). It cannot be used to accept donations.

3Account Registration

  • To use the Service, you must create an account with a valid email address. Authentication is managed through Clerk.
  • You agree to provide accurate and current information and to keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use or suspected breach of your account.

4User Roles and Responsibilities

4.1 Team Organizers/Managers

  • The payment (collection) features are available to companies (hōjin), non-profit corporations (e.g. a general incorporated association or NPO), sole proprietors (kojin jigyōnushi), and unincorporated voluntary groups (nin'i dantai) such as teams and clubs. For an unincorporated group, its representative (leader, manager, coach, captain, treasurer or similar) opens the Stripe Connect account on the group's behalf and receives funds for the group as set out in Section 6
  • Must connect a Stripe Connect account and provide a bank account for receiving payments
  • BuPay reviews all organizations for legitimacy and may require additional proof
  • Are responsible for the accuracy of invoices, charges, and team information
  • Must comply with all applicable laws and regulations
  • Must clearly communicate all fees and charges to team members before billing

4.2 Team Members/Parents

  • Must review and pay invoices in a timely manner
  • Should contact team organizers directly to resolve disputes about charges
  • Parents can manage profiles and payments for their children

5Payments and Fees

5.1 Payment Processing

  • All payments are processed through Stripe. Stripe's terms and privacy policy apply.
  • We accept payments via credit card, PayPay, and the other payment methods shown at checkout (such as convenience store payment).
  • We do not store payment card information. All payment data is securely processed by Stripe.

5.2 Platform Fees

  • BuPay charges platform fees for payment processing. Fees are set per organization and clearly displayed at checkout.
  • Fees typically consist of a percentage of the payment amount plus a fixed fee per payment.
  • Each organization chooses who bears the fee. When the member pays, the fee is added on top of the charge amount and paid by the member. When the organization pays, the member pays only the charge amount and the fee is deducted from the amount the organization receives. This choice cannot be changed after the first payment. In either case, all fees are fully disclosed before payment completion.

5.3 Payment Processing Costs

Stripe's payment processing costs are included in the BuPay platform fee. Members and organizations are not charged separate Stripe fees.

6Agency-Based Receipt of Payments (Shūnō Daikō) and Authority to Receive Funds

By using the payment features of the Service, Team Organizers engage BuPay to collect payments on their behalf and grant the authority to receive funds as follows.

  • The creditor of every charge (participation fees, membership dues, entry fees, insurance premiums and other amounts) is the organization acting as Team Organizer. The holder of the Stripe Connect account (the organization's representative, manager, coach, captain or similar) receives funds as the organization's representative and on its behalf, and does not become the creditor personally.
  • Team Organizers grant BuPay and its payment processor (Stripe) the authority to receive, on the Organizer's behalf, participation fees, membership dues, and other amounts payable to the Organizer by team members (authority of agency receipt, dairi juryō).
  • When a team member makes a payment through the Service, the member's payment obligation to the Team Organizer is deemed fully discharged at the moment BuPay or Stripe receives the funds on the Organizer's behalf.
  • Team members agree that their obligation to pay a charge to the organization is extinguished at the moment they pay it through the Service.
  • Charges arise under the plans, invitations, games, due dates and other rules the organization sets in the Service, and are changed or cancelled under the Service's rules.
  • By enabling the payment features, Team Organizers consent to the flow of funds described in this section: members' payments pass through BuPay and Stripe and are paid out to the Organizer's registered account.
  • BuPay does not provide funds transfer (shikin idō) or other money remittance services. All funds are received solely as agent of, and for the account of, the Team Organizer.
  • Funds received on the Organizer's behalf are paid out to the Organizer's registered bank account according to the applicable payout schedule.

7Collection of Insurance Premiums

The Service lets organizations collect insurance premiums from their members. The following applies to this feature.

  • BuPay is not an insurance company, insurance agent or insurance broker. BuPay does not solicit, sell, recommend or explain insurance, and does not enroll anyone in insurance.
  • BuPay only provides a tool for an organization to collect, on its own behalf, the premiums for insurance that the organization itself takes out or arranges. The type of insurance, the insurer, the premium amounts and any other insurance information shown in the Service are decided and entered by the organization.
  • Enrollment, the insurance contract, the scope of cover and any claims are matters between the organization or its members and the insurer, and BuPay has no responsibility for them. A premium marked as paid in the Service does not mean that anyone is enrolled or covered.
  • The organization is solely responsible for paying the collected premiums to the insurer and for completing enrollment.

8Refund Policy

A member can request a refund of any payment made through the Service within 7 days of paying. A refund is made only once a club admin or organization admin approves it. The platform fee (system usage fee) is never refunded, whether the member or the organization pays it:

8.1 Refund Requests

  • Refund requests can be made only within 7 days of payment. Payments older than 7 days cannot be requested
  • Every type of charge is covered: game fees, entry fees, membership fees, sports insurance premiums, equipment and other charges
  • Members can send a refund request from the app or the web

8.2 Approval and Decline

  • A refund is made only after a club admin or organization admin approves it on the web dashboard. Sending a request does not by itself refund anything
  • A club admin or organization admin may decline a request. A decline is final
  • Either way, the member is notified by their chosen notification method (push notification or email)

8.3 Membership Cancellation

Cancellation takes effect at the end of the current period; the fee for a period already started is not refunded

8.4 Refund Processing

  • Approved refunds are returned to the original payment method. How long they take to appear depends on the card company, typically 5-10 business days
  • Refunds are only processed to the original payment method
  • The platform fee (system usage fee) is non-refundable, whether the member or the organization pays it. When the member pays the fee, the charge amount is refunded but the fee added on top is not. When the organization pays the fee, the refund is the amount paid minus the fee
  • Even if an insurance premium charge is refunded in the Service, a premium the organization has already paid to its insurer may not be returned under the insurer's rules. For a return of the premium itself, please contact the organization or the insurer.

9Prohibited Conduct

You may not use the Service to:

  • Engage in any illegal purpose or violate these Terms
  • Engage in fraudulent or deceptive transactions
  • Access or use another person's account without authorization
  • Interfere with or disrupt the Service or servers
  • Use automated systems to collect or scrape data
  • Transmit viruses, malware, or other harmful code
  • Impersonate any person or entity
  • Recover expenses that an organizer, manager or other individual paid personally on the group's behalf, or settle personal loans or bill splits between individuals
  • Collecting or receiving donations, fundraising, tips, or any other payment that is not consideration for a good or service.

10Intellectual Property

  • The Service and its original content, features, and functionality are the exclusive property of BuPay and its licensors.
  • The Service is protected by copyright, trademark, and other laws.
  • We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial use in accordance with these Terms.

11Account Suspension and Termination

  • We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, at our sole discretion.
  • We may terminate your account immediately for violations of these Terms, fraudulent activity, or misconduct.
  • You may close your account at any time. Upon account closure, your personal data will be deleted or anonymized within 30 days, except for financial records required by law.

12Limitation of Liability

  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
  • We do not warrant that the Service will be uninterrupted, secure, or error-free.
  • To the maximum extent permitted by law, BuPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Service.
  • BuPay is not responsible for disputes between team organizers and members. Such disputes must be resolved directly between the parties.

13Indemnification

You agree to indemnify and hold harmless BuPay and its affiliates, officers, and employees from all claims, damages, obligations, losses, liabilities, and costs arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14Modifications to Terms

  • We reserve the right to modify or revise these Terms at any time, at our sole discretion.
  • We will notify you of material changes by email or through a notice on the Service.
  • Your continued use of the Service after changes constitutes acceptance of the revised Terms.

15Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of Japan.
  • Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Japan.
